Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Xpolink platform, website, API, CLI tool, and related services (collectively, the "Service") operated by Xpolink ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years of age and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Account Responsibilities
You are responsible for:
- Maintaining the security of your account credentials and API keys
- All activity that occurs under your account, including activity by team members you invite
- Notifying us immediately at security@xpolink.app if you suspect unauthorised access to your account
We are not liable for any loss or damage arising from your failure to secure your account or API keys.
3. Acceptable Use
You agree to use the Service lawfully and in accordance with these Terms. You shall not use the Service to create, distribute, or facilitate access to content or links that:
3.1 Prohibited Content
- Spam — sending unsolicited bulk messages via email, SMS, social media, or any other channel using Xpolink short links
- Phishing — links to fraudulent login pages, fake websites, or any scheme designed to deceive users into revealing personal information, credentials, or financial data
- Malware — links that distribute viruses, trojans, ransomware, spyware, or any other malicious software
- Illegal activity — links facilitating illegal transactions, drug trafficking, weapons sales, or any activity that violates applicable law
- Hate speech and harassment — content that promotes violence, discrimination, or hostility towards individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or immigration status
- Doxxing — sharing private or personally identifiable information of others without their explicit consent
- Child exploitation — any content that exploits, endangers, or sexualises minors in any way
- Copyright and trademark infringement — content that infringes on the intellectual property rights of any third party
- Impersonation — pretending to be another person, company, or organisation with the intent to deceive
- Violent or graphic content — content depicting extreme violence, gore, or other material intended to shock or disturb
3.2 Prohibited Practices
- Redirect chaining — creating short links that point to another URL shortener instead of a final destination, used to obscure the true destination
- Redirect loops — creating chains of links that redirect to each other indefinitely
- Circumvention — attempting to bypass, disable, or interfere with Xpolink's abuse detection, rate limiting, plan limits, or security measures
- Automated abuse — using bots, scripts, or automated tools to create links in bulk for the purpose of spamming, manipulating metrics, or abusing the Service
- Scraping — systematically accessing or harvesting data from the Service beyond what the API provides
- Interference — any action that disrupts, degrades, or impairs the Service for other users
3.3 Catch-All
The above list is not exhaustive. We reserve the right to determine, in our sole discretion, whether any use of the Service constitutes abuse or a violation of these Terms. If in doubt about whether your intended use is permitted, contact us at hello@xpolink.app before proceeding.
4. Enforcement and Termination
4.1 Our Rights
If we determine, in our sole discretion, that you have violated these Terms or that your use of the Service constitutes abuse, we may take any or all of the following actions without prior notice:
- Disable or remove individual links
- Restrict or suspend your access to the Service
- Terminate your account and delete all associated data
- Block all links associated with your account
- Report the activity to law enforcement authorities
We reserve the right to terminate your account, with or without cause and with or without notice, at any time. We are not obligated to provide a reason for termination.
4.2 Effect of Termination
Upon termination:
- All short links associated with your account will cease to function
- Your access to the dashboard, API, and CLI will be revoked
- We are not obligated to retain, return, or forward any of your data
- Any prepaid subscription fees are non-refundable in cases of termination for cause
4.3 Abuse Detection
We use a combination of automated systems and manual review to detect abuse. We may partner with third-party abuse detection services, internet safety organisations, and law enforcement agencies to identify and respond to harmful content.
5. Intellectual Property
5.1 Your Content
You retain ownership of the URLs, titles, and other content you create or upload to the Service. By using the Service, you grant us a non-exclusive, worldwide licence to store, process, and transmit your content solely for the purpose of providing the Service.
You represent and warrant that your content does not infringe any third-party intellectual property, privacy, or publicity rights.
5.2 Our Platform
The Xpolink platform, including its design, code, features, and documentation, is our intellectual property. You may not copy, modify, reverse engineer, create derivative works of, or otherwise exploit the Service beyond what is explicitly permitted by these Terms or the API documentation.
5.3 Copyright Takedowns
If you believe that content accessible through the Service infringes your copyright, please contact us at legal@xpolink.app with the URL, a description of the copyrighted work, and your contact information. We will investigate and take appropriate action, which may include removing the infringing link.
6. Subscriptions and Billing
Paid plans (Pro and Business) are billed monthly via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis.
- Free plan — no charge, subject to usage limits
- Upgrades — take effect immediately with prorated billing
- Downgrades — take effect at the end of the current billing period
- Cancellation — you may cancel at any time from your billing settings. Your plan remains active until the end of the current billing period.
- Refunds — subscription fees are generally non-refundable. We may make exceptions at our discretion for billing errors or service issues.
7. Service Availability
We strive to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify you of planned downtime.
8. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total subscription fees you paid to us in the twelve (12) months preceding the event giving rise to the claim
- We are not liable for the content, accuracy, or legality of any destination URL or third-party content accessed through short links
- We are not liable for any loss resulting from your failure to secure your account, API keys, or passwords
9. Indemnification
You agree to indemnify, defend, and hold harmless Xpolink, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Service
- Your content, links, and the destination URLs you create or distribute
- Your violation of these Terms or any applicable law
- Any claim by a third party that your content infringes their intellectual property, privacy, or other rights
- Your use of the email gate feature and any data collected through it
10. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.
If you use the email gate feature to collect visitor email addresses, you are the data controller for those emails. You are responsible for complying with applicable data protection laws (including GDPR and CCPA) regarding the data you collect through the Service.
11. Third-Party Services
The Service integrates with and relies on third-party services including Vercel (hosting), Clerk (authentication), Stripe (payments), and Neon (database). We are not responsible for the availability, performance, or policies of these third-party services.
Short links may redirect visitors to third-party websites. We do not control, endorse, or assume responsibility for the content or practices of any third-party website.
12. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We may also update these Terms from time to time. Material changes will be communicated via email or a notice on the website. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from or relating to these Terms or the Service shall be resolved in the courts of New South Wales, Australia.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Xpolink regarding the Service and supersede all prior agreements, understandings, and communications.
